What a company annual return filed with SECP usually contains, how it sits next to the AGM, and how to prepare the registers before the statutory window closes.
A company in Pakistan does not finish the year when the accounts are signed. It still has to tell the Securities and Exchange Commission of Pakistan who owns it, who directs it, and where the registered office is. That filing is the annual return. It is a corporate record, separate from the income tax return you file with FBR.
What the annual return is for
The annual return keeps the public register current. Shareholders, banks, and regulators use it to see the company’s capital, directors, and officers. If the register is stale, a later share transfer, a bank account update, or a due-diligence request turns into a clean-up project.
For a company with share capital, the return is commonly made on Form A through SECP’s eServices portal. Form names and the online checklist change, so use the form the portal offers on the day you file rather than a saved copy from a previous year.
How it sits next to the annual general meeting
Under the Companies Act, 2017, the annual return follows the annual general meeting. The meeting adopts the financial statements and records appointments or changes. The return then reports that position to SECP. File within the statutory window after the meeting. A late return attracts an additional fee, and the fee is the smaller problem: a late register is what delays banking and investment paperwork.
Confirm the current deadline on the SECP checklist before you circulate the notice of the meeting. The date of the meeting drives the filing date, so the calendar has to be set backwards from the return, not discovered after the meeting has already happened.
What to have ready
Most delays are missing registers, not a difficult form. Before you start the return, collect:
- The registered office address, and any change that was not already filed.
- The current directors and chief executive, with dates of appointment or cessation.
- The register of members, including transfers since the last return.
- Authorised and paid-up share capital, and any allotment that still needs its own filing.
- The signed minutes of the annual general meeting.
If a director resigned and the Form was never filed, fix that record first. The annual return should match the statutory registers, not a spreadsheet that only the accountant has seen.
How this differs from tax and audit
The income tax return reports profit to FBR. The audit, where one is required, reports an opinion on the financial statements. The SECP annual return reports the company’s legal shape. A business can be up to date with tax and still be late with SECP, or the other way around. Treat them as three deadlines on one calendar.
Private companies, single-member companies, and groups with several subsidiaries each have their own return. Do not assume a holding company’s filing covers the subsidiaries.
A simple way to stay current
Pick one owner for corporate filings inside the company. After every allotment, transfer, or director change, update the register in the same week, not at the next annual return. When the AGM is booked, the return pack should already be drafted.
